GENERAL TERMS AND CONDITIONS

  1. PREAMBLE

The following terms and conditions govern the purchase of products from our FLAGSHIP STORE at www.stratoitaly.com.

This is a distance contract under Article 50 and Legislative Decree no. 20 of 6 September 2005 (consumer code).
The object of the contract is the sale of goods between STRATO INTERNATIONAL herein after “STRATO INTERNATIONAL” based in 20121 Milan, Via Bagutta 13, VAT No. 09931650965 and the final consumer herein after the “CLIENT”.

Any purchase on the FLAGSHIP STORE at www.stratoitaly.com assumes automatic acceptance of all General Terms of Sale, including the procedures implemented for order processing below.

The General Terms may be subject to change and are operative from the time of their publication on the website and are not retroactive so they do not apply to contracts entered into previously.

Any clause issued by the CLIENT, not accepted in writing by STRATO INTERNATIONAL, which is contrary to these Terms or particularities defined in the price offer, will be considered void.

The information communicated by the CLIENT as a result of the Order commits the latter to comply with the obligations under the law. In the event of error or incomplete data, STRATO INTERNATIONAL cannot be held responsible for the inability to ensure delivery. 

  1. PURCHASE FROM FLAGHSIP STORE 

The FLAGSHIP STORE at www.stratoitaly.com proposes STRATO PRODUCTS with an indication of the main features and services offered. The pictures of the products on our FLAGSHIP STORE are faithful reproductions.

Colors such as leathers, fabrics, lacquers, metals, woods, precious marbles or stones are indicative. Differences in color shades and/or differences in wood grain are not to be considered as defects.

There are several ways to enter into a purchase agreement with STRATO INTERNATIONAL:

2.1) By filling out the order form yourself from the FLAGSHIP STORE at www.stratoitaly.com

2.2) By submitting an e-mail request to the e-mail address: enquire@stratoitaly.com

STRATO INTERNATIONAL will confirm the receipt of the order by sending the Order Confirmation to the e-mail address provided by the CLIENT. 

The order confirmation will summarize the PRODUCTS ordered with the characteristics requested by the CLIENT, the prices, the delivery address, the order number and the applicable GENERAL TERMS.
The CLIENT must check the correctness of the data contained in the order confirmation and communicate any corrections within 24 (twenty-four) hours of receipt. Every communication must contain the number of order inserted in the Order Confirmation.

  1. PRODUCT SALE

The purchase contract is concluded at the moment of the total or partial payment of the order. By concluding the contract, the CLIENT undertakes to follow all the General Terms of Sale herein.

All STRATO products present in the FLAGSHIP STORE at www.stratoitaly.com with indication “MADE TO ORDER” can be customized in terms of size and material. These PRODUCTS are made exclusively to order and for this reason returns are not accepted.

For orders concerning kitchens and furniture of large dimensions, we require the plan of the space where the ordered PRODUCTS will be placed. STRATO INTERNATIONAL will send a detailed project with indication of electrical and plumbing installations. 

The contract of sale of PRODUCTS “Made to order” between the CLIENT and STRATO INTERNATIONAL is concluded in Italy and governed by Italian law.

  1. MODIFICATION REQUESTS 

Changes or special requests should be communicated via e-mail to: enquire@stratoitaly.com. All special requests must be communicated prior to the start of production. STRATO INTERNATIONAL reserves the right to accept or reject any changes to the PRODUCTS. The production will begin after receiving final confirmation from the client and full payment or 50% of the price of the PRODUCT. Production times refer to the date of payment received from the client.

  1. PRODUCT PRICES, TRANSPORT AND INSTALLATION

All prices shown on the website are in EURO, standard packaging and VAT are included. Transport and installation are not included. The price for transport in Italy is indicated separately. The price for transport does not include the cost of transport to floor level and installation. Some large PRODUCTS are delivered disassembled with packaging in wooden crates. 

Requests for estimates for delivery to floor level and installation should be sent by e-mail to the following address: enquire@stratoitaly.com. 

Shipping and installation costs abroad are provided by e-mail.

  1. INTERIOR DESIGN 

STRATO creates custom interior design projects or “One of a kind” products. Design includes custom study with detailed project. In the event of acceptance of designed PRODUCTS, the amount paid will be discounted from the price of the PRODUCT.

Every project and/or STRATO PRODUCT is covered by Copyright. All rights reserved.

  1. SUPPORT SERVICES

The CLIENT will be able to have information with regard to the PRODUCTS, the SERVICES and how to place the orders, by writing to the e-mail address: enquire@stratoitaly.com.

  1. PRODUCTION

Each STRATO PRODUCT is handmade with high artistic and qualitative value. To ensure the quality standards of a STRATO product, longer production times are required than for a mass-produced product. Production times are quoted in months and can be suspended during the summer vacations (August) or during the Christmas Holidays (24.12 to 6.01). In the event of force majeure such as floods, fires, pandemics, etc., the performance of the services of STRATO INTERNATIONAL may be suspended in whole or in part. Force majeure means any unforeseeable and insurmountable event that prevents STRATO INTERNATIONAL from fulfilling its contractual obligations.

STRATO INTERNATIONAL is responsible to the consumer for the proper performance of its obligations under the contract. However, STRATO INTERNATIONAL may exonerate itself in whole or in part from its responsibility by demonstrating that the non-performance or improper performance of the contract is attributable to the consumer, or to the unforeseeable and insurmountable fact of a third party, or a case of force majeure. In the event of non-execution of the Order due to force majeure (flooding, fire, difficulty in finding materials for pandemics, pandemics etc), STRATO INTERNATIONAL will not be held responsible in any case, without prejudice to the alternative solution proposed to the CLIENT.

At any time the CLIENT may obtain information on the progress of the order by contacting the e-mail address: enquire@stratoitaly.com and referring to his order number indicated in the order confirmation.

  1. PAYMENT

The payment methods accepted are indicated in the FLAGSHIP STORE at www.stratoitaly.com: Credit cards (enabled circuits), bank transfer, PayPal.

Where design is required, a payment at the time of order of EURO 10.000,00 (ten thousand) is necessary. The remaining amount may be paid 50% upon definition of the project and in any case before the start of production, 50% when the goods are ready and in any case before delivery.

All bank charges are the responsibility of the client.

The amount paid to the order is considered “deposit” art.1385 Italian Civil Code.

  1. INVOICING 

Invoicing and RefundsThe commercial invoice will be issued after receiving the fiscal data provided for CLIENTS qualified as “Consumers” or “Professionals”. The information provided by the CLIENT for this purpose shall be considered authentic, and the CLIENT declares and guarantees that it is true, releasing the most extensive indemnity to the Affiliated Reseller in this regard.

  1. RIGHT OF LIEN

The PRODUCTS remain the property of STRATO INTERNATIONAL until full payment, including the cost of shipping and any installation.

  1. SHIPPING 

To start the shipping process STRATO INTERNATIONAL will send a request via e-mail asking for the availability to receive the supply. Shipments must always be authorized by e-mail to: enquire@stratoitaly.com. In the event of non-response or communication of delayed availability, any costs of storage and/or redelivery will be charged to the client. 

Delivery can be made after full receipt of payment through couriers specializing in furniture shipments with telephone notice. The telephone notice normally takes place the day before delivery, indicating the time slot (morning or afternoon) and the day (Monday to Friday).  The standard shipment service is intended with delivery to street level (to ground level, to the closest point to the entrance of the house that can be reached by a truck 12 meters long) and the CLIENT must cooperate with the driver and, in case of heavy products, provide adequate personnel to deal with the unloading, without damaging the goods.

The client must be present at the time of delivery in order to check that the packaging is intact and that the products received correspond to what is reported on the purchase order. In the event of visible defects, such as incorrect quantity and/or wrong product and non-integrity of packaging, the CLIENT must immediately report to the courier noting on the transport document, in precise and detailed manner, all the anomalies found, sending a copy to STRATO INTERNATIONAL at the e-mail address: enquire@stratoitaly.com.

All goods travel insured.

In the event of deliveries with destination outside the European Union STRATO INTERNATIONAL will refund the total amount of VAT upon receipt of export documents.

  1. DELIVERY SERVICES WITH ASSEMBLY 

The service of delivery to the CLIENT’s home and assembly of the PRODUCTS is not included in the price of the PRODUCTS, but can be organized and provided by STRATO INTERNATIONAL. This service should be requested from the following e-mail address:  enquire@stratoitaly.com prior to arranging delivery. STRATO INTERNATIONAL will communicate via e-mail a detailed quote. Upon acceptance of the estimate for additional expenses, the CLIENT shall make payment by bank transfer indicated on the invoice.

  1. FAILURE TO COLLECT PRODUCTS

In the event of failure to collect the PRODUCTS “Made to order” by the CLIENT the purchase order cannot be canceled and STRATO INTERNATIONAL will take appropriate action to comply with the obligations assumed by the CLIENT with the exclusion of any form of refund. STRATO INTERNATIONAL reserves the right to charge the CLIENT for any additional storage and/or transfer of the PRODUCT that may incur.

  1. LIABILITY EXCLUSION

Delays in delivery: with regard to the above mentioned delivery methods referred to in art. 9 above, STRATO INTERNATIONAL will be exonerated from any responsibility in case of delays caused by events, acts, facts and circumstances unforeseeable at the time of the conclusion of individual purchase contracts, inevitable and also beyond the control of STRATO INTERNATIONAL (by way of example: natural disasters, pandemics, strikes, etc.). STRATO INTERNATIONAL will promptly notify the CLIENT of a new delivery date and will make every effort to fulfill all of its obligations as set forth in the purchase contract;

PRODUCT compliance: STRATO INTERNATIONAL guarantees that the PRODUCTS comply with the information contained in the FLAGSHIP STORE at www.stratoitaly.com.

Any differences in color are considered tolerable as they are due to the use of technological means;

Incorrect measurements: the CLIENT shall not be liable in the event that the space where the purchased PRODUCTS are to be installed does not have the correct measurements/dimensions to accommodate the PRODUCTS;

Obvious flaws and defects: Every single product is carefully checked before being packed. STRATO INTERNATIONAL guarantees that the PRODUCTS are free from defects.  The CLIENT must check upon receipt of the PRODUCTS the absence of any defects such as scratches and/or dents. The report of flaws and/or obvious defects found must be communicated immediately before use. The CLIENT shall refrain from intervening directly or through third parties to remove any anomalies found. Failure to do so will result in no reimbursement of expenses incurred. 

STRATO INTERNATIONAL carefully selects all the materials that are used, such as fabrics, leather, metals, paints, veneers, etc. Differences in color shades and/or differences in wood grain are not to be considered defects, as the wood is a natural material. Over the years, exposure to light may change its initial color as a guarantee of beauty of a natural product. Alteration in color shall not be considered a defect.

  1. RIGHT OF WITHDRAWAL

The CLIENT has the right to withdraw from any distance contract, without penalty and without specifying the reason, within a period of 14 days from the day of delivery at the address specified in the order. The right of withdrawal is exercisable by the CLIENT qualified as “Consumer” on products specifically classified as “Ready to order” by sending, before the expiry of the withdrawal period as indicated above, a notice of withdrawal by registered mail with return receipt addressed to the headquarters of STRATO INTERNATIONAL as specified on the order confirmation. The notice of withdrawal must specify the will to withdraw from the purchase and other related ancillary services.

The CLIENT may not exercise the right of withdrawal “for non-prefabricated goods produced on the basis of an individual choice or decision of the consumer” (Directive 2011/83/EU of the European Parliament) and for “goods made to measure or clearly personalized” (art. 59 Legislative Decree 21/2014). For the high level of customization that characterizes our PRODUCTS, and for production processes on order, the right of withdrawal is not applicable to all products with indication “MADE TO ORDER”. The right of withdrawal can also not be exercised on sealed goods that are not suitable to be returned for reasons of hygiene or health protection and have been opened after delivery.

Finally, the right of withdrawal cannot be exercised on “non-customized” goods in the following cases: contracts not covered by the legislation on Consumers (goods purchased with VAT for professional purposes); contracts negotiated and concluded at the headquarters of STRATO INTERNATIONAL; contracts negotiated at the headquarters of STRATO INTERNATIONAL and concluded by placing a “remote” online order.

The consumer must return the goods at his own expense to STRATO INTERNATIONAL within 14 days from the exercise of the right of withdrawal and is responsible for the decrease in value resulting from handling other than that necessary to establish the nature, characteristics and operation of the good itself. If the right of withdrawal is exercised by the consumer in compliance with the provisions herein, STRATO INTERNATIONAL will refund the amount paid except for additional costs that the customer has requested.

It is also recalled, before returning, to check that the products subject to withdrawal are intact and in perfect condition, in the original packaging, complete in all its parts (including packaging and ancillary documentation). 

The refund will be made within 14 days from the exercise of the right of withdrawal if the consumer has fulfilled its obligation to return the goods within 14 days of the exercise of its right, in case of payment by bank transfer the refund will be made in any case on the next working day after the time in which STRATO INTERNATIONAL is aware of the bank details of the client.

  1. WARRANTY

The products are accompanied by a regular invoice of sale valid for the warranty of 24 months on defects of conformity, according to the Consumer Code (Legislative Decree 24/02); for purchases invoiced to people with VAT and companies the warranty is 12 months.

The activation of the warranty implies, in order to be accepted, the supply of the documentation proving the purchase and the verification of the anomalies of the PRODUCT reported by the CLIENT. Defects resulting from normal wear and tear, misuse or maintenance, an accident caused by an external element or a modification neither planned nor authorized by STRATO INTERNATIONAL, are excluded from this warranty. 

Following this complaint, the CLIENT will have the right to request the repair or replacement of the PRODUCT within the terms of the Law.  

In the event of replacement or repair of a product is the responsibility of the customer to properly pack the returned parts to prevent damage and bear the cost of shipping to return the product, the cost of repair (materials and labor) and the cost of return to the customer are borne by STRATO INTERNATIONAL.

For Household Appliances, assistance under warranty is provided directly by the manufacturer through its Customer Service, both in Italy and abroad.

  1. APPLICABLE LAW, CONCILIATION ATTEMPT AND COMPETENT COURT

These General Terms shall be interpreted in accordance with Italian law. Please also note that the European Commission provides an online platform for out-of-court alternative dispute resolution, accessible at http://ec.europa.eu/odr. If the conciliation attempt is not adhered to, or should this attempt have a negative outcome, the dispute will be referred exclusively to the Court of Milan.
